the ruck foundation
the independent guardian of Ruck’s promises — so they can’t be taken away.
why this exists
Apps make promises. Then ownership changes, or investors arrive, and the promises quietly go: features get paywalled, data gets sold, anonymity erodes. Usually there is no one whose job is to say no.
Ruck is built the other way around. Its core promises to the people who use it are written into the company’s constitution, and a single Golden Share can veto any attempt to break them. The Ruck Foundation is the independent body being formed to hold that share, on behalf of the community.
the constitution
Not policies. Rules written into Ruck’s Articles of Association, binding on the company and its directors today. They can’t be quietly changed.
how it’s protected
Not “we promise we won’t.” A structure that makes breaking the rules something the company legally cannot do without consent.
where we are today
This is the plan, and it is being built now. The constitution and the Golden Share are in the filed Articles today. The independent body does not exist yet: the veto share is held by the founder in the meantime, bound by the same rules. We are publishing the plan in draft, before it is final, so it can be tested.
| Milestone | Status |
|---|---|
| Constitution written into the Articles | Adopted |
| Amended Articles (anti-avoidance, audit right, Foundation naming) | Drafting |
| Independent body formed | Not yet |
| Veto share transferred to it | Pending |

scrutiny
This is a draft, published before it is finalized so it can be challenged. If you can find a hole in it — a loophole, a way it could be gamed, or a better way to do any of it — we want to hear it.
